We work to enhance our corporate governance.<\/p>\n\n<ul class=\"c-linkTxtList\">\n  <li class=\"c-linkTxt\"><a href=\"\/ir\/english\/assets\/pdf\/governance\/governance_01.pdf\">Corporate Governance Guidelines (PDF)<\/a><\/li>\n<\/ul>\n\n\t\t\t\t\t\t\n<h3 class=\"c-ttl-small\">Shareholders&#8217; Meeting<span>(Convened on June 20, 2025)<\/span><\/h3>\n<h4 class=\"c-ttl-little is-black\">Determines important matters as the highest decision-making body<\/h4>\n<p>The general shareholders\u2019 meeting serves as Capcom\u2019s highest decision-making body and determines important matters prescribed by laws, regulations, and the Company\u2019s Articles of Incorporation, as well as serves as a place for communicating the audit results of divisional reports and consolidated financial statements.<\/p>\n\n<p>Invitations to the general shareholders\u2019 meeting are issued approximately three weeks before convening the session, and efforts are made to allow for greater attendance by having the session before the date on which most other companies hold their meetings. We have also made it possible for shareholders to exercise their voting rights over the internet using a computer, smartphone or tablet as well as on paper. In addition, we participate in an electronic voting rights exercise platform for institutional investors so that they will have sufficient time to review the proposals.<\/p>\n\t\n<p>Additionally, to further enhance dialogue with shareholders, we have been implementing a &quot;Hybrid Participatory Virtual General Meeting of Shareholders&quot;. The committee deliberates on important matters stipulated by the Rules for the Audit and Supervisory Committee and strives to strengthen audits and supervision.<\/p>\n\n<p>The Audit and Supervisory Committee audits the status of directors&#8217; execution of duties and the adequacy of the internal control system, formulates audit policies and plans following the general shareholders\u2019 meetings, and appoints Audit and Supervisory Committee representatives, full-time committee members, selected committee members, and the chairman of the committee. This determines auditing policies,\nschedules, methods, and the allocation of duties after the end of the shareholders\u2019 meeting.<\/p>\n\n<p>The main activities of the Internal Audit Department are verifying and evaluating the status of employees\u2019 execution of duties and the efficacy (and status of operation) of internal control systems, and reporting to the Audit and Supervisory Committee. When needed, department members also accompany selected Audit and Supervisory Committee members and carry out on-site audits of offices and subsidiaries inside and outside Japan. In addition, we have established an internal audit department to support the Audit and Supervisory Committee.<\/p>\n\t\n<p>This department conducts regular monitoring across all divisions and gathers and analyzes information related to legality, appropriateness, and efficiency, including for our group companies. The audit results are reported to the Audit and Supervisory Committee, which then shares the findings with the Board of Directors. Furthermore, in the event of an unforeseen situation, the Audit Committee quickly investigates and analyzes the causes and effects to assist in making informed management decisions. With regard to the Company\u2019s risk management, including compliance, the Council\u2019s purpose is to conduct activities on an ongoing basis aimed at enhancing risk management initiatives in the Company, through the identification and assessment of risks, the formulation of risk control policies, and the promotion of compliance, as well as through regular reporting to the Risk and Compliance Committee (chaired by an external director).<\/p>\n\t\n<h3 class=\"c-ttl-small p-governance-ttl-wrap p-governance-ttl-wrap--2\">Information Technology Security Oversight Committee<!--br class=\"is-sp\"><span class=\"p-governance-ttl-wrap__label p-governance-ttl-wrap__label--2\">Audit<\/span--><\/h3>\t\n<p>The Information Technology Security Oversight Committee is composed of four external experts, one of whom is selected as the chairman. The Committee strives to share various information on internal security on a timely basis, facilitated through the attendance of directors in charge of the Company\u2019s corporate departments at meetings of the Committee to support its activities and participate in the deliberation process regarding the Committee\u2019s proposals.<\/p>\n\n<p>The Committee meets at least four times every year as necessary. Its purpose is to maintain and strengthen the Company\u2019s information security and cyber security management systems by sharing various information on technology and trends related to information security and cyber security with the Company\u2019s corporate departments and providing oversight and advice about response policies.<\/p>\t\n\t\n\n\t\n<h3 class=\"c-ttl-small p-governance-ttl-wrap p-governance-ttl-wrap--3\">Corporate Management Council <br><span>(Convened 12 times in the year ended March 31, 2025)<\/span><span class=\"p-governance-ttl-wrap__label p-governance-ttl-wrap__label--3\">Implementation<\/span><\/h3>\n\n<h4 class=\"c-ttl-little is-black\">Supporting the Board of Directors\u2019 decisions<\/h4>\n<p>The Corporate Management Council (chaired by the Representative Director and Chairman of the Board) is composed of seven internal directors and, in principle, is convened several days before a meeting of the Board of Directors, or whenever necessary.<\/p>\n\n<p>In addition to meeting to carry out preliminary deliberations of Board of Directors agenda items, it also deliberates other important items.<\/p>\n\n\n<h3 class=\"c-ttl-small p-governance-ttl-wrap p-governance-ttl-wrap--3\">Human Resources Committee<br>\n<span>(Convened 12 times in the year ended March 31, 2025)<\/span><span class=\"p-governance-ttl-wrap__label p-governance-ttl-wrap__label--3\">Implementation<\/span><\/h3>\n\t\n<h4 class=\"c-ttl-little is-black\">Supporting decision-making by the Board of Directors on investment in human capital<\/h4>\n<p>The Human Resources Committee (chaired by the Representative Director and Chairman of the Board) is composed of seven internal directors and the corporate officer in charge of the HR Divisions. In addition to clarifying the roles and responsibilities of directors focused on management and corporate officers focused on business execution, the system boosts management efficiency by allowing officers to swiftly execute business following instructions from executive directors regarding important matters determined at the Board of Directors.<\/p>\n\n<p>The Board of Corporate Officers is composed of 12 corporate officers (five of whom serve concurrently as directors), and in principle, convenes once a month.
